1- Parties
This agreement is drawn up between NBS Human Resources and Management Consulting Inc., located at "Caddebostan Mah. Caddebostan İskele Sk. 16-18 Beşyuva Apt. D: 1 Kadıköy Istanbul" (hereinafter referred to as “NBS”), which operates activities on the website with the domain www.nbshr.net (hereinafter referred to as the “Site”), and the user who is a member of or benefits from the Site without being a member (hereinafter referred to as the “Member”). Hereafter, NBS and the Member may jointly be referred to as the “Parties”.
2- Subject
The subject of this Agreement is to define the conditions under which the Member benefits from the Site and to include the presentation of services provided through the Site by NBS to the Member in an electronic environment.
3- Obligations
NBS accepts and undertakes to facilitate the Member's access to the services provided on the Site, except in cases of force majeure.
The Member agrees not to produce, share, or distribute content within the site that is against general morality and law, infringing on the rights of third parties, misleading, offensive, obscene, pornographic, harmful to personality rights, in violation of intellectual and industrial rights, or encouraging illegal activities. In such cases, the Member will be solely responsible for any resulting damage, and NBS reserves the right to suspend, terminate such accounts, and initiate legal proceedings.
The Member is entirely responsible for the security of the system access tools used to benefit from the services provided by NBS. NBS bears no direct or indirect responsibility for any damages incurred or potentially incurred due to the Member’s negligence or faults concerning the security of these access tools, their storage, and their protection against third parties.
The Member accepts, declares, and undertakes that the information and content provided within the Site are accurate and lawful. NBS is not obligated to investigate the accuracy or currency of the data provided by the Member, nor does it guarantee the security and legality of this information. NBS cannot be held responsible for any damage resulting from incorrect or incomplete information and content.
The Member cannot transfer, partially or wholly, the rights and obligations under this agreement to a third party without the written consent of NBS.
4- Effectiveness
By marking the approval box related to this agreement (opt-in) during the member registration process or continuing without being a member, it is understood that the Member has read and accepted all articles of this agreement. The agreement comes into mutual effect at the moment of the Member’s registration on the Site. In the case of continuation without registration, the agreement is deemed concluded upon marking the approval box and comes into mutual effect.
5- Protection of Personal Data
NBS has published an Illumination Text on the Protection of Personal Data on its website, in compliance with personal data protection legislation. This text explains how the Member's personal information will be processed and transferred, and the Member is thoroughly informed about their legal rights.
By approving this agreement, the Member accepts and declares that they have read and understood the illumination regarding the processing of personal data.
6- Termination of the Agreement
This agreement will remain in effect until terminated by either party for any reason. NBS reserves the right to unilaterally terminate the agreement of any Member who violates any provision of this agreement.
7- Force Majeure
In cases beyond the control of the Parties, such as natural disasters, fires, explosions, civil wars, wars, uprisings, public movements, mobilization announcements, strikes, lockouts, epidemics, infrastructure and internet failures, power outages (collectively referred to as “Force Majeure”), if NBS is unable to fulfill its contractual obligations, it will not be held responsible. During such events, the rights and obligations of the Parties under the Agreement are suspended.
8- Revision
NBS reserves the right to partially or completely change the services offered on the Site and the terms of this agreement due to commercial interests and changes in legislative provisions. It is the Member's responsibility to monitor changes published on the Site.
9- Notification
All notifications related to this Agreement will be sent to the address or email address provided by the Member during this agreement or other transactions with NBS. The Member accepts in advance that the address specified during this agreement is their valid notification address and agrees to inform the other party in writing within 5 days in case of a change, otherwise, notifications to this address will be considered valid.
10- Resolution of Disputes
The courts and enforcement offices of Istanbul Anadolu are authorized to resolve any disputes arising from the implementation of this agreement.
